Terms

A Green Office Pty Ltd standard terms for the hire & maintenance of indoor plants

1. A GREEN OFFICE PTY LTD shall:

  1. Supply, install and arrange all indoor plants and containers as agreed with the Customer.
  2. In consultation with the Customer, arrange installation of indoor plants to obtain maximum visual and practical benefit to complement the interior décor.
  3. Ensure all containers are waterproof.
  4. Provide a maintenance service which includes:
    i. watering plants as required
    ii. cleaning foliage when required
    iii. removing yellowing or spent foliage
    iv. checking for disease in plants or soil
    v. checking, filling, topping and adjusting containers as required
    vi. cleaning rubbish from containers
    vii. changing plants as required to ensure the standard of presentation is maintained to its
    original condition
    viii. leaving premises clean and tidy after carrying out maintenance service

2. THE CUSTOMER shall:

  1. Permit A GREEN OFFICE PTY LTD to have access to the plants to enable it to carry out maintenance service
  2. Follow the direction of A GREEN OFFICE PTY LTD in relation to the health of indoor plants and containers
  3. Not move or rearrange indoor plants and containers without consulting A GREEN OFFICE PTY LTD
  4. Not interfere with or provide any service or maintenance to the indoor plants in any way whatsoever
  5. Notify A GREEN OFFICE PTY LTD if any renovations or building works are to be carried out, so that any plants which may be affected or damaged can be relocated or removed
  6. Not sell or offer for sale, assign, mortgage, pledge, underlet, lend or otherwise part with possession of the indoor plants and containers
  7. Keep the indoor plants and containers in the premises to which they are delivered to by A GREEN OFFICE PTY LTD

3. The indoor plants and containers shall remain the property of A GREEN OFFICE PTY LTD at all times.

4. The hiring is personal to the Customer and the Customer shall not be entitled to assign the benefit or burden of this Agreement to any other party

5. If the indoor plants and/or containers are stolen or damaged or destroyed by any deliberate or careless act by the Customer or its employees, agents or invitees, A GREEN OFFICE PTY LTD shall be
entitled to recover from the Customer as liquidated damages the cost of repairs to and or the replacement of the damaged, destroyed or missing articles.

6. TERMINATION

  1. Unless a specific agreement period is specified, the Customer may terminate an agreement at any time and for any reason as long as 90 days written notice from the end of any month is provided
  2. If a specific agreement period is nominated, then 90 days written notice must be provided prior to termination date or the agreement shall automatically renew for the same specified period.
  3. Upon the termination of this Agreement the Customer shall make all indoor plants and containers available for collection by A GREEN OFFICE PTY LTD and A GREEN OFFICE PTY LTD shall be entitled to claim hire charges up to and including the date upon which the indoor plants and containers are made available for collection.

7. TAX INVOICES

  1. A GREEN OFFICE PTY LTD will issue a tax invoice for the hire and maintenance of the indoor plants and containers for the agreed amount at the beginning of every month
  2. The customer shall pay invoices as per agreed terms, if none are specified the period shall be 30 days from date of invoice
  3. A GREEN OFFICE PTY LTD may charge interest on unpaid invoices if they are remain unpaid after the 30 days, the interest rate shall be at 10%
  4. In the event that this agreement is terminated all outstanding invoice must be paid prior to the agreed termination date
